1. Acceptance of These Terms

These Terms of Service ("Terms") form a binding agreement between you and ALLSTREAM LTD ("Hoty", "we", "us", "our"), a company registered in England and Wales under company number 15304620, with its registered office at 10 Stoneway, Unit M, Lakesview International Business Park, Canterbury, England, CT3 4GP ("Company"). These Terms govern your access to and use of the website hoty-ai.com and all related services (together, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Eligibility and Age Requirement

The Service is intended exclusively for adults. You must be at least 18 years old, and of the legal age of majority in your jurisdiction of residence, to create an account or use the Service in any way. By using the Service, you represent and warrant that you meet this requirement. We do not knowingly permit anyone under 18 to register, and we may suspend or terminate any account we reasonably believe belongs to a minor.

3. About the Service

Hoty is an AI content platform available at hoty-ai.com. The Service lets registered users (a) upload photographs and generate AI-modified images and videos from them using automated generation effects, and (b) exchange text messages with fictional AI-driven characters ("AI Characters") through a chat feature. Features, effects, and AI Characters available on the Service may change over time, and we may add, modify, or remove any part of the Service at our discretion.

4. Your Account

You must register an account with a valid email address and password to use most features of the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use of your account. We may suspend or terminate accounts that violate these Terms.

5. Coins and Payments

Access to generation and chat features on the Service is paid for using an internal virtual currency ("Coins"). Coins are purchased in fixed, one-time packages; the Service does not offer subscriptions or recurring payments of any kind. Coins are a limited license to use features of the Service, not currency, property, or a stored-value instrument: they have no monetary value outside the Service, cannot be sold, transferred, exchanged, or redeemed for cash, and are non-refundable except as described in our Refund Policy (see /legal/refund). Payments are processed by third-party payment providers depending on your region and chosen method, which may include card and SBP payments, cryptocurrency, and UPI (for users in India). Prices are shown in the Service before purchase.

6. Uploaded Content and Content Rules

When you upload a photograph to generate content, you retain ownership of it. You grant us a limited, non-exclusive license to process, store, and use the uploaded photograph solely for the purpose of providing the Service to you (including moderation and generation). You may only upload: (a) a photograph of yourself, or (b) a photograph of another adult who has given their explicit, informed consent to have their image processed on the Service for the specific purpose you intend. It is strictly prohibited to upload, or to attempt to generate content depicting, any person under the age of 18, in any form, including images that appear to depict a minor, are stylized to appear younger, or otherwise suggest a minor, regardless of the source image. It is also prohibited to upload a photograph of any third party — including a public figure or celebrity — without that person's explicit consent. You are solely responsible for ensuring you have the right to upload any photograph you submit and for obtaining any required consent. This same rule applies to anything you do with the content the Service generates: you must not distribute, publish, or share content depicting a person other than yourself beyond the specific use they consented to, and you must not use generated content to harass, defame, blackmail, or otherwise misrepresent any person, or represent it as an authentic photograph or recording of a real event.

7. Content Moderation

Every photograph uploaded to the Service is automatically checked by a moderation system before it is used to generate any content. If a photograph cannot be verified as compliant with Section 6 — including where the moderation system cannot confirm the age or consent status of the person depicted — the upload will be rejected and no content will be generated from it (a "fail-closed" approach: uploads are rejected by default whenever compliance cannot be confirmed). Messages sent through the chat feature may also be subject to moderation review.

8. AI-Generated Content

All content generated through the Service — including images, videos, and chat messages from AI Characters — is artificially generated and does not depict or represent a real event. AI Characters are fictional personas and are not real people; nothing an AI Character says reflects factual information, professional advice, or the views of any real individual. Generated images and videos are synthetic derivatives of your uploaded photograph and are not, and should not be represented as, authentic photographs or recordings.

9. Refunds

If a generation fails for technical reasons, or is rejected by our moderation system, the Coins charged for that attempt are automatically refunded to your account balance. Refunds relating to fiat payments (the money used to purchase Coins) are handled separately; see our Refund Policy at /legal/refund for the applicable terms and process.

10. Intellectual Property

The Service, including its software, design, trademarks, and the Hoty name and logo, is owned by the Company or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you to use the Service, no rights are transferred to you. You may not copy, modify, reverse-engineer, or create derivative works of the Service itself.

11. Prohibited Conduct

In addition to the content rules in Section 6, you agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law;
  • Upload content depicting a minor in any way, or attempt to circumvent our moderation systems;
  • Upload a photograph of another person without their explicit consent;
  • Harass, threaten, or attempt to defraud us, our staff, or other users;
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems;
  • Use automated means (bots, scrapers) to access the Service without our prior written consent;
  • Resell, sublicense, or commercially exploit access to the Service or generated content without our consent.

12. Suspension and Termination

We may suspend or permanently terminate your account, without prior notice and without refund of your Coin balance, if we determine, in our reasonable discretion, that you have violated these Terms — in particular the content rules in Section 6 or the prohibited conduct in Section 11. You may stop using the Service and close your account at any time by contacting us as described in Section 18.

13. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that generation results will meet your expectations.

14. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify and hold the Company harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any law, or your infringement of any third party's rights, including as a result of content you upload.

16. Governing Law, Disputes, and Language

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. Where these Terms are provided in a language other than English, the English version prevails in the event of any conflict or inconsistency.

17. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of our assets, without your consent.

18. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and the Company regarding the Service and supersede any prior agreements on this subject.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
